  4. NetSpeak Corporation WebPhone(TM) Version 2.01 License Agreement
  5.  
  6. BY INSTALLING AND RUNNING THIS SOFTWARE PROGRAM YOU
  7. ARE AGREEING TO BE BOUND BY THE TERMS AND CONDITIONS OF
  8. THIS AGREEMENT.  IF YOU DO NOT AGREE TO THE TERMS
  9. OF THIS AGREEMENT, DO NOT CONTINUE THIS INSTALLATION
  10. AND DELETE ANY PORTIONS OF THIS SOFTWARE ALREADY
  11. INSTALLED ON YOUR DISK DRIVE.

  13. LICENSE GRANT
  14. NetSpeak Corporation ("NetSpeak") grants to you a non-exclusive
  15. license under Copyrights to use its WebPhone(TM) version 2.01 
  16. voice communications software product ("Software"). You may reproduce 
  17. and distribute copies of the Software, but not for compensation, provided 
  18. the following conditions are met:
  19.  
  20. (a) This license agreement must accompany the Software.
  21. (b) You may not, or may not permit other individuals to: modify,
  22.     translate, reverse engineer, decompile, disassemble, create derivative works
  23.     from the Software, or remove any proprietary notices or labels
  24.     on the software, including copyright, trademark or patent pending notices.

  26. SOFTWARE
  27. NetSpeak reserves the right to at any time to alter prices, features,
  28. capabilities, functions, licensing terms, release dates, general
  29. availability or any other characteristics of the software as NetSpeak sees fit.

  31. TITLE
  32. Title, ownership rights, and intellectual property rights in and to
  33. the Software remain with NetSpeak. The Software is protected by
  34. the copyright and patent laws of the United States and international copyright
  35. treaties.

  37. DISCLAIMER OF WARRANTY
  38. Since the Software is provided free of charge, the Software is
  39. provided on an "AS IS" basis, without warranty of any kind,
  40. including without limitation the warranties of merchantability,
  41. fitness for a particular purpose and non-in fringement. The entire
  42. risk as to the quality and performance of the Software is borne by
  43. you.  Should the Software prove defective, you and not NetSpeak
  44. assume the entire cost of any service and repair. This disclaimer of
  45. warranty constitutes an essential part of the agreement. Some
  46. states do not allow exclusions of an implied warranty, so this
  47. disclaimer may not apply to you and you may have other legal rights
  48. that vary from state to state or by jurisdiction.
  49.  
  50. LIMITATION OF LIABILITY
  51. Under no circumstances and under no legal theory, tort, contract,
  52. or otherwise, shall NetSpeak or any other person be liable for any
  53. indirect, special, incidental, or consequential damages of any
  54. character including, without limitation, damages for loss of
  55. goodwill, work stoppage, computer failure or malfunction, or any
  56. and all other commercial damages or losses even if NetSpeak has 
  57. been advised of the possibility of such damages. In no event will
  58. NetSpeak be liable for any damages whatsoever.
  59.  
  60. MISCELLANEOUS
  61. This Agreement represents the complete agreement and supersedes
  62. all prior agreements and representations between the parties. It
  63. may be amended only by a writing executed by both parties. If any
  64. provision of this Agreement is held to be unenforceable for any
  65. reason, such provision shall be reformed only to the extent
  66. necessary to make it enforceable.  This Agreement shall be governed
  67. by and construed under Florida law as such law applies to agreements
  68. between Florida residents entered into and to be performed within
  69. Florida, except as governed by Federal law. The application the
  70. United Nations Convention of Contracts for the International Sale
  71. of Goods is expressly excluded.

  73. US GOVERNMENT RESTRICTED RIGHTS
  74. Use, duplication or disclosure by the Government is subject to
  75. restrictions set forth in subparagraphs (a) through (d) of the
  76. Commercial Computer -Restricted Rights clause at FAR 52.227-19
  77. when applicable, or in subparagraph (c)(1)(ii) of the Rights in
  78. Technical Data and Computer Software clause at DFARS 252.227-7013,
  79. and in similar clauses in the NASA FAR Supplement.
